Wolters Kluwer Notification of Planned Divestiture

Quoting from the notification:

Today, Wolters Kluwer Legal & Regulatory announced the sale of the Canadian Legal Products in Canada to LexisNexis, a part of the Reed Elsevier organization. This includes all English and French Legal products except Municipal Law and our Aliform product in Quebec. This in no way affects our Tax & Accounting Division nor any Tax publishing products, software, or Tax assets of any kind. Our Tax law products remain with Wolters Kluwer CCH in Canada.

Why was this divestiture made?

Wolters Kluwer continuously examines its global portfolio of products to ensure that corporate investments are aligned with customer needs. As part of this analysis, it was concluded that the long-term growth potential of the Canadian Legal assets would be optimized in the hands of LexisNexis.

Who are LexisNexis and Reed Elsevier?

LexisNexis is a global provider of content-enabled workflow solutions for professionals in legal, risk management, corporate, government, law enforcement, accounting and academic markets. They are a member of the Reed Elsevier group and a top-ranked provider of Legal information solutions to the Canadian market. LexisNexis Canada offerings include the Quicklaw® online legal research service; Butterworths® print and e-book titles, as well as major works including the Halsbury’s® Laws of Canada and JurisClasseur Québec legal encyclopedias. Reed Elsevier is a global provider of information solutions for professionals.

How will this affect the Canadian Tax Division at Wolters Kluwer CCH?

Wolters Kluwer CCH in Canada holds a leading position the Tax market in Canada. Our Tax publishing business and all publishing assets including Tax law, along with the entire software line of products is not affected by the planned divestment.

Period of Transition

For your legal products only, Wolters Kluwer CCH has in place a Transfer of Service agreement with LexisNexis. We will continue to fully support you with regards to your legal products and ensure your products are published and updated until the responsibility of these products is fully transferred to LexisNexis. Until then, you will continue to contact Wolters Kluwer CCH with questions, product orders or support needs. In addition, during this transfer of service time, you will access your legal online products via CCH Online as usual. Once the transfer of service is complete, you will receive notice and begin your relationship with LexisNexis at that time.

However, for all of your Tax law and Tax related products, your relationship remains with Wolters Kluwer CCH. Your tax law products are published by Wolters Kluwer CCH only. You will continue to access your online tax products as usual, and your support, contacts and accountant representatives at Wolters Kluwer CCH all remain the same.

In divesting to LexisNexis, we have aligned the Canadian Legal business with a buyer who is well positioned to enhance the products and delivery platforms, and to continue to serve the needs of the specialized segments formally served by the Legal division at Wolters Kluwer in Canada. We trust you will appreciate your future relationship with LexisNexis.

For questions you are welcome to call Wolters Kluwer at 1 800 268 4522 or LexisNexis at 1 800 255 5174.
